Corporate Associate Attorney - REMOTE

This role is 100% remote and open to candidates who reside in Chicago, Austin, Dallas, Miami, Philadelphia, Minneapolis, Tampa, Boston, or Nashville.

About the role

We are working with a well-established, national law firm seeking an experienced Associate Attorney to join their Corporate group. The Corporate Attorney will serve a variety of clientele and industries including entertainment, music, television, media, health & wellness, sports, fashion, start-ups, and more.

Responsibilities

• Structure, negotiate, document, and manage various transactions
• Provide strategic business and legal advice to clients on general legal matters
• Advise clients on legal rights, contractual responsibilities, and other matters arising out of various agreements
• Advise on changes in the law with respect to restrictive covenants as they relate to employment
• Establish and maintain key stakeholder relationships with regular, effective, and timely communications concerning deal negotiation and business strategy
• Contribute to relevant internal and departmental process development and management, as well as deal-making resources

Requirements

• J.D. with strong academic performance and membership in good standing with bar license
• Experience drafting most or all of the following: Board and Shareholder Resolutions for fundraising or remediation efforts; convertible notes; Operating Agreements; amended and restated articles; Employee Incentive or Synthetic Incentive Plans and Grants
• Experience with intellectual property rights and exploitation, risk mitigation, contract drafting, corporate governance, financing, indemnification, restructuring, and fundraising
• Expertise in corporate formation and start-up activities, contract review, negotiations, and intellectual property law

Pay

Base salary range: $150,000 – $170,000 per year, based on experience.
