A bit about us: We are working with a well-established, national law firm that is seeking an experienced Associate Attorney to join their Corporate group based out of Southern California!

The Corporate Attorney will serve a variety of clientele and industries including entertainment, music, television, media, health & wellness, sports, fashion, start-ups, and more!

Location: Remote (must live in the following regions: Chicago, Austin, Dallas, Miami, Philadelphia, Minneapolis, Tampa, Boston, or Nashville)

Base Salary Range: $150k-$170k/year based on experience

Job Details

The ideal candidate will have experience in corporate transactional work i.e., finance transactions, mergers, corporate governance, etc., and be able to jump in and spot corporate governance issues, draft remediations documents, and counsel clients through growth and fund raising activities with only necessary oversight.

Responsibilities

  • Structure, negotiate, document, and manage various transactions
  • Provide strategic business and legal advice to clients on general legal matters
  • Advises clients on legal rights, contractual responsibilities, and other matters arising out of various agreements
  • Advise on changes in the law with respect to restrictive covenants as they relate to employment
  • Establish and maintain key stakeholder relationships with regular, effective and timely communications concerning deal negotiation and business strategy
  • Contribute to relevant internal and departmental process development and management, as well as deal-making resources

Requirements

  • J.D. with strong academic performance and membership in good standing with bar license
  • Experience drafting all or most of the following: Board and Shareholder Resolutions for fundraising or remediation efforts; convertible notes; Operating Agreements; amended and restated articles; Employee Incentive or Synthetic Incentive Plans and Grants
  • Experience with intellectual property rights and exploitation, risk mitigation, contract drafting
  • corporate governance, financing, indemnification, restructuring, & fund raising
  • Expertise with respect to corporate formation and start-up activities, contract review, negotiations, and intellectual property law
