Requirements
- J.D. with strong academic performance and membership in good standing with bar license.
- Experience drafting all or most of the following:
- Board and Shareholder Resolutions for fundraising or remediation efforts;
- convertible notes;
- Operating Agreements;
- amended and restated articles;
- Employee Incentive or Synthetic Incentive Plans and Grants.
- Experience with intellectual property rights and exploitation, risk mitigation, contract drafting.
- Corporate governance, financing, indemnification, restructuring, & fund raising.
- Expertise with respect to corporate formation and start-up activities, contract review, negotiations, and intellectual property law.
Qualifications
- Experience working as a Corporate Attorney.
- Experience drafting Board and Shareholder Resolutions for fundraising or remediation efforts;
- convertible notes;
- Operating Agreements;
- amended and restated articles;
- Employee Incentive or Synthetic Incentive Plans and Grants.
- Experience with corporate governance, fund raising activities, and restructuring activities.
- Experience working with various industries including entertainment, music, television, media, health & wellness, sports, fashion, start-ups, and more.

About the Role
We are working with a well-established, national law firm that is seeking an experienced Associate Attorney to join their Corporate group based out of Southern California!
Responsibilities
- Structure, negotiate, document, and manage various transactions.
- Provide strategic business and legal advice to clients on general legal matters.
- Advises clients on legal rights, contractual responsibilities, and other matters arising out of various agreements.
- Advise on changes in the law with respect to restrictive covenants as they relate to employment.
- Establish and maintain key stakeholder relationships with regular, effective and timely communications concerning deal negotiation and business strategy.
- Contribute to relevant internal and departmental process development and management, as well as deal-making resources.
