About the role
The Contract Solutions Counsel on the Carta Law team, specifically within the Contracts - Americas function, will negotiate and manage high volumes of pre-M&A contracts, serve as the primary day-to-day contact for sophisticated investment fund and asset manager clients, and collaborate with and mentor junior lawyers and paralegals.
Responsibilities
- Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters – directly liaising with counterparties and adhering to agreed turnaround times
- Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers
- Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations
- Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture
- Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools
Requirements
- Commercially minded and client-focused
- Experienced in transactional law with 6-8+ years of post-law school corporate or transactional experience, including independent negotiation of pre-M&A contracts (NDAs, NRLs, joinders, engagement letters)
- Familiar with financial services, particularly asset managers, investment banks, or other financial services firms
- Licensed to practice law in the Americas (US/Canada)
- Tech-savvy and adaptable, comfortable with legal technology suites and interested in legal tech or AI
- A self-starter who owns their work, thriving in a fast-paced environment and prioritizing effectively

- Seattle, WA: $167,200 - $209,000
- Sandy, UT: $140,800 - $176,000
