Contract Solutions Counsel

About the role

You'll be joining our Carta Law team, specifically within the Contracts - Americas function. Our Contracts team manages the full lifecycle of commercial contracts for clients – from first review through to execution. You'll be the direct day-to-day contact for sophisticated investment fund and asset manager clients, working alongside fellow lawyers and paralegals.

Responsibilities

• Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters – directly liaising with counterparties and adhering to agreed turnaround times
• Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers
• Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations
• Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture
• Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools

Requirements

• Commercially minded and client-focused
• Experienced in transactional law with 6-8+ years of post-law school corporate or transactional experience, with a track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters)
• Familiar with financial services, experience working with asset managers, investment banks, or other financial services firms, and understanding their expectations
• Law Degree and licensed to practice in the Americas (US/Canada)
• Tech-savvy and adaptable, comfortable working with and evolving a legal technology suite (e.g. AI tools, HighQ)
• A self-starter who owns their work, thriving in a fast-paced environment, prioritizing effectively, and always looking for ways to improve and innovate

Pay

The expected cash compensation (salary + commission if applicable) range for this role is:

• Hamilton Township, NJ: $149,600 - $187,000
• Seattle, WA: $167,200 - $209,000
• Sandy, UT: $140,800 - $176,000
