Contract Solutions Counsel
About the role
You'll be joining our Carta Law team, specifically within the Contracts - Americas function. Your responsibilities include negotiating and managing high volumes of pre-M&A contracts, serving as the primary day-to-day contact for sophisticated investment fund and asset manager clients, maintaining and updating client playbooks, collaborating with and mentoring junior lawyers and paralegals, and contributing to the continuous improvement of Carta's legal technology suite.
Responsibilities
- Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters
- Directly liaise with counterparties and adhere to agreed turnaround times
- Build trusted advisor relationships with sophisticated investment funds and asset managers
- Maintain and update client playbooks on an ongoing basis
- Review and mentor junior lawyers and paralegals' work
- Contribute to the continuous improvement of Carta's legal technology suite
Requirements
- Commercially minded and client-focused
- Experience in transactional law with 6-8+ years post-law school corporate or transactional experience
- Familiarity with financial services, especially asset managers, investment banks, or other financial services firms
- Licensed to practice law in the Americas (US/Canada)
- Tech-savvy and adaptable to legal technology suites
