About the role

Strategy Engineering is seeking an experienced, detail-oriented Contract Manager to provide part-time contract management support on a 1099 independent contractor basis. This role supports the review, redlining, and negotiation of a broad range of commercial agreements. This is a flexible, as-needed engagement anticipated to require between 0 and 20 hours per week depending on business needs. The Contract Manager will report directly to the President and will work closely with the Director of Business Development.

Responsibilities

  • Review, redline, and negotiate customer Master Service Agreements (MSAs) and related terms and conditions.
  • Review, redline, and negotiate customer and vendor confidentiality/non-disclosure agreements (NDAs).
  • Review, redline, and negotiate subcontractor agreements and associated work orders/task orders.
  • Review, redline, and negotiate vendor purchase orders and related procurement agreements.
  • Review and support negotiation of other commercial contracts and ancillary agreements as needed, including teaming agreements, amendments, and change orders.
  • Identify contractual risks, inconsistencies, and unfavorable terms, and recommend or draft redlines and alternative language consistent with the company's risk tolerance and standard positions.
  • Track contract status, key terms, obligations, and renewal/expiration dates, and maintain organized records of executed agreements.
  • Coordinate with internal stakeholders, including the President, Director of Business Development, and project and finance teams, to gather input on commercial and technical terms.
  • Liaise with customers, subcontractors, and vendors during negotiations to drive agreements to timely execution.
  • Escalate significant legal, financial, or risk issues to the President and/or outside counsel as appropriate.
  • Support the development and refinement of standard contract templates, playbooks, and negotiation guidelines.

Qualifications

  • Bachelor's degree required; J.D., paralegal certification, or equivalent legal/contracts training preferred.
  • Minimum of 5+ years of experience in contract management, contract negotiation, or a related commercial/legal role, ideally within construction, EPC, design-build, or the energy industry.
  • Demonstrated experience reviewing, redlining, and negotiating MSAs, NDAs, subcontracts, work orders, and purchase orders.
  • Working knowledge of construction and commercial contract law, including risk allocation, indemnification, insurance, and limitation of liability concepts.
  • Familiarity with the energy sector (upstream, midstream, renewables, utilities, CCUS, or LNG) strongly preferred.
  • Familiarity with engineering, procurement, and construction (EPC) contractors.
  • Excellent written and verbal communication skills, with the ability to clearly explain contractual risk to non-legal stakeholders.
  • Strong organizational skills and the ability to manage multiple contracts and negotiations concurrently with minimal supervision.
  • Proficiency with Microsoft Word, including redlining/track changes, and familiarity with contract management tools or software.
  • Ability to work independently on a flexible, part-time basis and to be responsive within agreed-upon turnaround times.

Schedule

980 schedule (9 days on, 80 hours in a 2-week period).

Engagement Details

Classification: 1099 independent contractor (non-employee). This is not an employment relationship; the individual is responsible for their own taxes, benefits, and insurance. Availability: 0–20 hours per week, varying based on business need and deal flow. Work arrangement: Hybrid — primarily remote, with periodic in-person meetings or office visits as needed. Term: Annual (yearly) engagement. Contractor may terminate the engagement at any time upon thirty (30) days' written notice to Strategy Engineering. Strategy Engineering may terminate the engagement immediately for cause at any time.
