Key Responsibilities
- Lead and support public and private capital raising transactions, including IPOs, follow-on offerings, and PIPE deals
- Draft and negotiate offering documents and corporate agreements
- Advise clients on SEC compliance, corporate governance, and reporting obligations
- Collaborate with internal teams and manage junior associates on transaction execution
Who You Are
- 3–6 years of corporate transactional experience at a large law firm, ideally with capital markets focus
- Strong knowledge of Securities Act, Exchange Act, and stock exchange regulations
- Skilled in drafting and negotiating transactional documents and governance policies
- Excellent analytical, communication, and drafting skills
- Admitted to the relevant state bar (NY or TX)
