Responsibilities

  • Draft, review, and negotiate acquisition agreements, merger agreements, asset purchase agreements, stock purchase agreements, and related transaction documents.
  • Conduct and manage legal due diligence reviews and prepare diligence reports.
  • Assist with transaction structuring and coordination among clients, opposing counsel, and third-party advisors.
  • Draft ancillary agreements, including employment, consulting, escrow, transition services, and non-compete agreements.
  • Support private equity investments, recapitalizations, and other strategic transactions.
  • Manage transaction timelines, data rooms, closing checklists, and closing deliverables.
  • Provide practical legal advice regarding corporate governance and general business matters.
  • Develop and maintain strong client relationships through exceptional service and responsiveness.
  • Collaborate across practice groups, including tax, employment, intellectual property, and litigation teams.

Qualifications

  • J.D. from an accredited law school.
  • Active bar admission in at least one U.S. jurisdiction.
  • 3–7 years of experience in corporate transactions and mergers & acquisitions.
  • Significant experience drafting and negotiating principal transaction documents.
  • Strong understanding of corporate law, transaction structures, and due diligence processes.
  • Exceptional analytical, writing, and communication skills.
  • Ability to manage multiple transactions and competing deadlines.
  • Strong client-service orientation and business judgment.
  • Experience representing private equity sponsors, founders, family-owned businesses, or strategic buyers is a plus.

Pay

$220,000 - $375,000 per year
