About the role

We are seeking an Attorney/Lawyer to support complex commercial real estate and affordable housing matters in Buffalo, New York. This position offers the opportunity to handle sophisticated transactional work involving acquisitions, financing, leasing, tax credit matters, and closing activities.

Responsibilities

  • Prepare and analyze organizational formation materials, entity certificates, resolutions, and related structural documentation for real estate transactions.
  • Examine title commitments, surveys, subdivision records, and site plan materials to identify issues that may affect development or ownership interests.
  • Draft and negotiate key transaction documents, including joint venture agreements, purchase and sale agreements, option agreements, deeds, leases, easements, and transfer instruments.
  • Review and produce condominium documentation and other property-related records required for commercial real estate and affordable housing projects.
  • Assess development budgets, investor financial models, settlement statements, and sources-and-uses schedules to support transaction planning and closing readiness.
  • Evaluate tax credit documentation such as reservation letters, timetable letters, binding agreements, regulatory materials, and other affordable housing program records.
  • Negotiate debt, grant, and equity term sheets and prepare or revise financing documents associated with project funding structures.
  • Draft legal opinions and tax-related analyses connected to debt, equity, and real estate transactions.
  • Lead project calls, coordinate deal participants, and establish organizational frameworks that support efficient execution of complex matters.
  • Manage permanent and construction financing closings with limited supervision while maintaining accuracy, timeliness, and compliance throughout the process.

Requirements

  • Active license to practice law and ability to work in a legal capacity on commercial real estate matters.
  • Demonstrated experience handling commercial real estate transactions, preferably with exposure to affordable housing projects.
  • Strong drafting and negotiation skills across transactional documents, financing agreements, and property-related instruments.
  • Ability to interpret title, survey, leasing, and land use documentation with a high level of accuracy and legal judgment.
  • Familiarity with tax credit programs, financial closing documentation, and multi-party deal structures.
  • Proven capability to organize complex transactions, lead discussions with stakeholders, and advance matters with minimal oversight.
  • Experience with legal writing, including drafting motions, briefing, discovery, or other substantive legal documents, is preferred.
