Attorney, Corporate Governance
About the role
Provide legal assistance, advice and counseling primarily regarding corporate law (including corporate governance), securities laws, contracts, mergers and acquisitions and other corporate transactions, including debt and equity financings, sustainability, lobbying compliance, and other public company matters. Assist with Corporate Secretary matters, including entity management.
Responsibilities
- Responsible for researching, analyzing and communicating laws and regulations relating to corporate governance, corporate law, financings, and securities matters.
- Assist with a broad range of corporate transactions, including debt and equity financings, mergers and acquisitions and other strategic transactions.
- Respond to legal inquiries and assist Crown Castle personnel with applicable legal issues.
- Provide assistance with respect to Corporate Secretary matters, including entity management, minutes, resolutions and corporate records.
- Draft, review and revise, as appropriate, contracts, securities filings and other documents regarding various matters.
- Aid with compliance with the Crown Castle Lobbying Policy and lobbying laws and regulations for all departments engaged in lobbying activities.
- Serve as the legal liaison to internal departments.
- Communicate effectively in written and oral presentations.
Requirements
- Bachelor’s Degree
- Juris Doctorate from an accredited law school
- Attorney’s License
- Two (2) years to three (3)+ years of related legal experience with a law firm or public company legal department
- Working knowledge of corporate and transactional legal matters
- Strong legal research and drafting skills
- Knowledge of and experience with contract, transactional and business law
- Ability to work independently, problem solve and make decisions
- Corporate governance and securities experience relating to publicly traded entities preferred
- Sustainability-related legal experience useful

Pay
The salary range offered for this position is $126,800 - $174,400 annually. A candidate's offer is determined by various factors including but not limited to, depth of experience, role-related knowledge and skills, relevant education or training, internal alignment, and work location. Depending on the position offered, the compensation package may also include incentive compensation opportunities in the form of a discretionary annual cash bonus or commissions, and equity incentives.
Schedule
To optimize collaboration, relationship building, and key stakeholder engagement, this roles aligns to a 4:1 hybrid model which is in office Monday-Thursday with the option for remote work on Fridays.
