About the role
The Advisory Contract and Execution (ACE) Team, also known as Global Markets Documentation, is a client-facing team within TD Securities. This team supports capital markets deal origination and execution of regulatory and legal trading agreement requirements globally.
Responsibilities
- Manage a diverse portfolio of capital markets clients globally across specific trading products.
- Review, draft, negotiate, and finalize capital markets legal agreements across a range of trading products, while ensuring alignment with risk, legal, regulatory and governance frameworks and accelerated time-to-market.
- Communicate capital markets agreement terms to business lines, clients and their legal counsel in a clear and efficient, business-friendly manner.
- Ensure that the Bank is adequately protected in all dealings by preparing and negotiating capital markets agreements, including ISDA Master Agreements, related credit support documentation, prime brokerage agreements, master confirmation agreements, energy and metals agreements, repo and securities lending agreements, and other bespoke capital markets agreements.
- Collaborate and coordinate with internal stakeholders, such as Front Office, Legal, Credit, Operations, Funding and Valuations, and Collateral Management during the origination and negotiation process.
- Develop a strong understanding of the Bank’s requirements in areas of global regulatory framework, credit and documentation.
- Negotiate a robust portfolio of capital markets regulatory agreements globally, ensuring regulatory compliance across specific trading products and jurisdictions, while aligning with internal standards and regulatory requirements.
- Communicate capital markets regulatory requirements to business lines, clients and their legal counsel in an efficient, business-friendly manner.
- Participate in client meetings and calls to provide regulatory advisory and rule interpretation, leveraging understanding of global derivatives regulations including US Dodd-Frank, EMIR, UK, Canadian, and Singapore frameworks.
- Understand the current state of legislation, regulation, and guidance with respect to OTC derivative transactions globally including Canada, the US, the EU, the UK, Singapore, and other relevant jurisdictions.
- Prepare and thoroughly review the necessary capital markets agreement requirements and disclosures to ensure TD Securities’ regulatory obligations are met.
- Participate in TD Securities-wide regulatory implementation efforts for new rules and initiatives, ensuring timely and accurate execution across jurisdictions.
- Understand TD Securities’ new and existing client base to ensure regulatory compliance daily.
- Utilize technology to track and monitor workflow, maintaining and updating databases with required information.
- Produce reports and status updates as required.
- Escalate issues proactively and in a timely manner.
- Provide timely support across multiple time zones including North America, Europe, and Asia.
Qualifications
- Law degree is required.
- 1+ years of solid legal, trading documentation, capital markets, origination or related experience.
- Excellent written, verbal communication skills, and drafting ability.
- Self-motivated with the ability to multi-task and work independently while understanding when to involve other team members as needed and to work effectively in a team environment.
- High degree of integrity and strong work ethic. Timely and consistently follows through on commitments.
- Ability to work under tight deadlines and have the flexibility to support global time zones as required.
- Demonstrated management skills and commitment to delivering results within aggressive timelines.
