Responsibilities

• Supports and participates in the documentation of commercial loan transactions, consulting with and advising relationship managers and other associates.
• Provides legal services, counsel, guidance, and proactive advice on legal issues to assigned banking groups/divisions/management, in consultation with a supervisor.
• Conducts legal research and issues legal opinions.
• Prepares, reviews, negotiates, and/or interprets legal instruments and documents, including contracts, confidentiality agreements, leases, loan agreements, collateral documents, and organizational documents.
• Reviews and analyzes loan or lease and collateral documentation, drafting legal audit memoranda for assigned banking groups.
• Reviews paralegal work on various matters, including signatory authority reviews, collateral summaries, and title insurance issues.
• Represents CoBank in negotiations and executes smaller, less complex tasks delegated by senior attorneys.

Requirements

• Juris Doctor (JD) from an approved law school
• Admission to a state bar
• 2 years of experience representing lenders and borrowers in negotiating, documenting, and closing commercial financing transactions or 1 year of CoBank Legal Residency experience
• Knowledge of laws and regulations affecting the Farm Credit System
• Basic knowledge of corporate and commercial law in the context of commercial loan transactions, including real estate and personal property collateral, participations, and syndications
• Knowledge of other areas of law related to transactions (e.g., environmental law)

Pay

The typical base pay range for this role is $100,000 – $123,000. This position is eligible for a discretionary annual incentive program driven by organization and individual performance.

Physical Demands

Sedentary work involving exerting up to 10 pounds of force occasionally and/or a negligible amount of force frequently to lift, carry, push, pull, or move objects. Sedentary work involves sitting most of the time but may include walking or standing for brief periods.
