Associate Attorney – Public Finance

Key Responsibilities

• Serve as lead or supporting associate on municipal bond financings and public finance transactions
• Assist in the structuring and execution of tax-exempt and taxable bond issuances
• Advise clients in roles including bond counsel, disclosure counsel, issuer’s counsel, and underwriter’s counsel
• Support financings involving governmental issuers, state agencies, and local authorities
• Work on transactions involving 501(c)(3) borrowers, nonprofit institutions, and conduit borrowers
• Draft and negotiate key transaction documents including bond documents, offering materials, financing agreements, and disclosure documents
• Advise on public finance restructurings and workouts, including matters involving institutional investors, trustees, and credit enhancement providers
• Coordinate with clients, financial advisors, underwriters, and other transaction participants through closing

Ideal Candidate Profile

• Strong experience in public finance transactions within a sophisticated law firm environment
• JD required and prior experience working in a law firm
• Experience structuring municipal bond financings and debt transactions
• Familiarity with municipal bond documentation, real estate aspects of bond financings, and UCC considerations
• Excellent drafting, analytical, and communication skills
• Ability to manage complex transactions and maintain strong relationships with clients and deal participants
• Highly motivated and able to thrive in a collaborative, fast-paced transactional environment
