Associate Attorney - Emerging Companies & Venture Capital (CA)

Position Overview

BakerHostetler is seeking a mid- to senior-level associate (4-7 years of experience) to join its Emerging Companies and Venture Capital Group. The candidate would work with companies and investors in their capital raises and merger and acquisition transactions, as well as day-to-day corporate governance and finance issues. The candidate would work on a national team to help numerous companies and investors of all sizes and types, across many industry sectors.

Qualifications

• Experience with emerging companies, private securities offerings and financing transactions, including corporate formation matters, preferred equity financings, SAFEs, convertible note and other similar capital raises
• Experience with mergers and acquisitions, strategic investments and other corporate transactions, including drafting and negotiating acquisition agreements, managing and closing transactions
• Knowledge of federal securities laws, rules and regulations and listing standards
• Experience assisting with maintaining governance policies and practices, including those related to committee charters, corporate governance, equity incentive grants and preparation of board materials and minutes
• Am Law 100 experience
• A strong academic record, having earned a JD from a nationally recognized and accredited school
• Must be admitted to practice law in the state of California

Location

This position may be located in Los Angeles, Orange County, or San Francisco.

Pay

The expected annual salary range for this position is $285,000-370,000. The salary offered in any location will be determined by a wide range of factors, including, but not limited to, experience level, education/training, geographic region, and relevant skills.

Benefits

Associates also participate in a performance- and hours-based bonus program.
