Key Responsibilities

  • Aid in corporate finance transactions involving lenders, borrowers, and private credit providers
  • Draft and negotiate key documentation such as loan agreements, security agreements, and intercreditor arrangements
  • Provide advice on loan originations and commercial lending transactions
  • Support real estate financing transactions within broader corporate lending structures
  • Conduct transactional due diligence efforts, coordinating with specialists and internal teams
  • Review and analyze covenant compliance and financing terms
  • Manage deal components and coordinate closing processes across multiple transaction stakeholders

Ideal Candidate Profile

  • 3–6 years of experience in corporate finance, banking, or secured lending within a sophisticated law firm environment
  • JD required and prior experience working in a law firm
  • Experience representing financial institutions, private credit lenders, or borrowers in financing transactions
  • Strong drafting experience with loan agreements, security documents, and intercreditor arrangements
  • Familiarity with real estate finance transactions within broader lending structures
  • Excellent academic credentials, writing ability, and strong organizational skills
  • Ability to manage multiple assignments with minimal supervision in a fast-paced transactional environment
