Key Responsibilities
- Aid in corporate finance transactions involving lenders, borrowers, and private credit providers
- Draft and negotiate key documentation such as loan agreements, security agreements, and intercreditor arrangements
- Provide advice on loan originations and commercial lending transactions
- Support real estate financing transactions within broader corporate lending structures
- Conduct transactional due diligence efforts, coordinating with specialists and internal teams
- Review and analyze covenant compliance and financing terms
- Manage deal components and coordinate closing processes across multiple transaction stakeholders
Ideal Candidate Profile
- 3–6 years of experience in corporate finance, banking, or secured lending within a sophisticated law firm environment
- JD required and prior experience working in a law firm
- Experience representing financial institutions, private credit lenders, or borrowers in financing transactions
- Strong drafting experience with loan agreements, security documents, and intercreditor arrangements
- Familiarity with real estate finance transactions within broader lending structures
- Excellent academic credentials, writing ability, and strong organizational skills
- Ability to manage multiple assignments with minimal supervision in a fast-paced transactional environment
