Associate Attorney – Business Law

Key Responsibilities

• Counsel clients on business formation, governance, and corporate structure for corporations, LLCs, partnerships, and other entities.
• Draft, review, and negotiate contracts, shareholder agreements, operating agreements, vendor agreements, and other business documents.
• Advisory on regulatory compliance, employment law considerations, intellectual property protection, and risk mitigation strategies.
• Aid in due diligence, transaction structuring, and the preparation of purchase agreements, disclosure schedules, and closing documents for mergers and acquisitions.
• Support litigation teams in commercial disputes, including contract enforcement, business torts, and shareholder conflicts.
• Conduct legal research and prepare memoranda on emerging business law issues.
• Maintain and grow client relationships through exceptional service and networking.

Qualifications

• Juris Doctor (J.D.) from an accredited law school.
• Admission to the state bar (in good standing).
• 1–4 years of experience in business, corporate, or commercial law (transactional and/or litigation).
• Strong drafting, negotiation, and analytical skills.
• Excellent organizational skills and attention to detail.
• Ability to manage multiple matters in a fast-paced environment.

Preferred Skills

• Experience with startups, closely held businesses, and mid-market companies.
• Familiarity with securities law, financing transactions, and cross-border deals.
• Comfort with cloud-based legal research and document management tools.
• Demonstrated business acumen and client-focused mindset.
