Assistant General Counsel Construction Transactions

About the role

We’re pleased to be working with a growing engineering, procurement and construction (EPC) company to add a senior attorney to its legal team. This is a new, high-profile role created to support the company’s expansion. It comes with a team to lead and a real chance to shape how the business manages risk on its biggest projects.

Responsibilities

  • Lead and develop a team. You’ll manage and mentor two attorneys, guide their work, review what they produce, and support their growth. You’ll also set consistent standards across the group’s commercial work. Prior management experience is a plus, but we’ll also consider a strong attorney who is ready for a first leadership role.
  • Handle high-stakes commercial deals. You’ll draft and negotiate a wide range of agreements, including EPC, construction, engineering, subcontract, equipment, services, and supply agreements. You’ll be the person the business turns to for its most complex deals.
  • Advise on major capital projects. You’ll counsel the business on large construction, industrial, energy, and infrastructure projects, spotting risks early and resolving them before they become problems.
  • Protect the company on complex projects. You’ll apply deep expertise in risk allocation, project execution, flow-down of prime contract terms, change orders, pricing, schedule impacts, supplier management, and claims avoidance.
  • Partner across the business. You’ll build trusted relationships with project, commercial, engineering, supply chain, finance, risk, compliance, and executive teams, leading through influence as much as legal skill.

Qualifications

  • 10+ years' experience drafting, reviewing and negotiating high dollar supply chain and procurement transactions for major projects
  • Strong knowledge of supply chain, procurement and construction industry transactions
  • Executive presence to lead a team of attorneys and collaborate with business leaders
  • Active Bar license, Texas preferred, but will relocate a top candidate
