About the Role

Cboe Global Markets is seeking an Assistant General Counsel to lead legal support for Cboe’s strategic transactional activity. Operating in a highly regulated environment, the successful candidate will need expertise in strategic transactions and the willingness to learn and navigate various regulatory frameworks.

This position is based in Chicago, Illinois.

Responsibilities

  • Lead all legal elements of acquisitions, dispositions, investments, joint ventures, and partnerships, including transaction analysis, structuring, diligence, agreement drafting and negotiation, and execution and integration.
  • Provide legal advice and support in exploring, negotiating, and executing new strategic partnerships and commercial relationships.
  • Support the management of Cboe’s strategic investment portfolio, including governance, modifications, or exits from investments.
  • Support Cboe’s governance processes for strategic transactional matters, including planning internal approval processes and preparing board and internal approval materials.
  • Coordinate advice and input from other Cboe attorneys (e.g., IP, employment, securities regulatory) and departments (e.g., finance, tax, HR) on strategic matters.
  • Provide legal advice and support to the Enterprise Strategy and Corporate Development function on strategic transactional matters.
  • Handle other legal matters as needed, including contract support for new commercial initiatives or corporate governance.
  • Assist with legal projects across the Legal Division and perform other duties as assigned.
  • Maintain high standards of legal and regulatory compliance and promote a culture of compliance.

Requirements

  • Minimum of 8 years of relevant legal experience at a large or mid-size law firm (preferably serving public company clients) and/or at a public company.
  • Significant experience structuring complex strategic transactions and negotiating legal elements with sophisticated counterparties.
  • Sophisticated knowledge of relevant areas of law, including state corporation laws, contract law, and working knowledge of antitrust, employment, and IP.
  • Strong writing skills and the ability to express complex subject matter clearly and accurately.
  • Experience advising senior businesspeople on strategic matters.
  • Familiarity with public company governance and disclosure requirements.
  • Experience in the financial services industry or another highly regulated industry is preferred.
  • Ability to develop strategic solutions to legal problems and communicate them effectively.
  • Ability to work independently and collaboratively, manage multiple tasks, and meet deadlines.

Qualifications

  • Bachelor’s Degree and Juris Doctorate.
  • Licensed to practice law.
  • Proficiency in Microsoft Office Suite (Word, PowerPoint, Excel, Outlook), document management, and other office technologies.

Pay

The anticipated base salary range for this role is $261,800–$338,800 (applicable for U.S. locations only). This role may also be eligible for annual incentive compensation and participation in Cboe’s long-term equity programs.
