About the role
The Volunteer Board Secretary is an Officer of the Board of Directors responsible for supporting effective governance, maintaining official corporate records, and ensuring accurate documentation of Board activities. This position plays an important role in helping the Foundation fulfill its legal and fiduciary responsibilities while promoting transparency and organizational integrity.
Responsibilities
- Attend quarterly virtual Board of Directors meetings.
- Prepare or assist with Board meeting agendas in collaboration with Board leadership.
- Record and maintain accurate Board meeting minutes.
- Maintain official corporate records and governance documents.
- Assist with required nonprofit filings and governance recordkeeping as needed.
- Support Board communications and distribution of meeting materials.
- Help ensure governance practices remain consistent with the Foundation's bylaws and applicable nonprofit regulations.
Board Service Expectations
- Participate actively in Board discussions and decision-making.
- Review meeting materials in advance.
- Uphold the Foundation's mission, bylaws, and governance policies.
- Exercise sound judgment and fulfill fiduciary responsibilities as a Board Officer.
- Support ethical leadership and nonprofit compliance.
Qualifications
- Strong organizational and written communication skills.
- Excellent attention to detail.
- Ability to maintain confidentiality.
- Comfortable using Google Workspace or Microsoft Office.
- Previous nonprofit or board experience is helpful but not required.
- Passion for environmental sustainability, education, or social impact is welcomed.
Schedule
Approximately 2-4 hours per month, including quarterly virtual board meetings.
