Vice President - Senior Technology Transactions Attorney, Associate General Counsel

About the role

The successful candidate will be a member of the Legal leadership team, a trusted advisor to senior business leaders, and a key escalation point for high-stakes negotiations across EXL’s global portfolio.

Responsibilities

  • Lead and manage the legal review and negotiation of complex sell-side technology transactions
  • Provide strategic guidance on commercial contracting matters, including drafting and negotiating agreements
  • Support the EVP, General Counsel & Corporate Secretary in managing the Legal & Compliance team
  • Act as a trusted advisor to senior business leaders, providing legal counsel and support
  • Escalate high-stakes negotiations as needed

Requirements

  • At least 10 years of experience in law firm or in-house corporate legal practice
  • Experience in technology transactions, particularly sell-side M&A
  • Proven ability to lead and mentor a team of contract attorneys
  • Strong negotiation skills and a track record of successfully closing complex deals
  • Excellent communication and interpersonal skills, with the ability to build strong relationships with senior executives

Qualifications

  • J.D. from an accredited law school
  • Admitted to practice law in at least one state
  • Member of the American Bar Association
