About the role

This is an Attorney position with a primary focus on Estate Planning, Real Estate, and Business Transactions, while also assisting in other areas of law as needed.

Job Functions

  • Draft estate planning documents (wills, trusts, powers of attorney, etc.) and advise clients on estate planning matters.
  • Handle business entity formations, including preparing formation documents and advising clients on entity structure and governance matters.
  • Draft, review, and negotiate business and commercial contracts, agreements, and transactional documents.
  • Draft and negotiate buy-sell agreements and advise clients on business ownership transitions.
  • Prepare, review, and negotiate real estate agreements, including lease agreements, purchase and sale agreements, and other real estate-related documents.
  • Aid clients with mergers and acquisitions (M&A), including due diligence, transaction structuring, and preparation of related legal documents.
  • Advises clients on business transactions, corporate matters, and general transactional issues.
  • Conduct legal research and provide guidance on transactional and business matters.
  • Assist with pre-litigation matters, including evaluating potential disputes, providing legal analysis, and supporting dispute resolution efforts when needed.
  • Perform administrative and management functions related to the practice of law.

Skills & Requirements

  • Member of the California Bar and in good standing.
  • 5+ years of experience in Estate Planning, Real Estate, Business Transactions, and Transactional Law.
  • Experience with entity formations, contract drafting and negotiation, buy-sell agreements, lease agreements, and mergers and acquisitions.
  • Proficiency in Microsoft Office (MS Excel, MS Word, and MS Outlook) and Adobe Acrobat.
  • Exceptional written and verbal communication skills.
  • Strong analytical, drafting, negotiation, and problem-solving skills.
  • Ability to work in a professional environment and maintain a professional demeanor in all situations, including the ability to remain calm and efficient during stressful situations.
  • Self-sufficient with the ability to work independently.
