Transaction Counsel, Real Estate

About the role
To provide legal advice to the Company and its deal teams regarding real estate and other transactions, including preparing and negotiating land and facility control documents, analyzing legal issues for title and survey matters, preparing and negotiating curative documentation to resolve title insurance coverage matters, and providing legal review and analysis on other transactions as needed. This role involves working with developers and other Company counsel to resolve real estate issues and obtain required internal approvals for real estate transactions.
Responsibilities
- Reviews, drafts, and negotiates real estate agreements for transmission, solar, BESS, and wind facilities (including the Company's form agreements) to ensure the Company's land control and other property rights are protected and enforceable.
- Assists and coordinates with AGC, Real Estate, to adhere to the company's acceptable terms for real estate agreements.
- Advises developers and coordinates with landowners' and investment partners' counsel to resolve legal issues that arise for transmission, solar, BESS, and wind projects.
- Consults with local counsel on state real estate law issues to ensure compliance of real estate agreements with state law.
- Researches various states' real estate laws as needed on specific issues.
- Reviews various land-related permits, advising development on terms, and negotiating with counterparties where appropriate.
Requirements
- Law degree and licensure in at least one state.
- At least 5 years of experience as a real estate attorney, including legal experience with project finance, project development, and project management transactions.
- Prior AmLaw 200 law firm or established in-house legal department experience is preferred.
Pay
The expected starting pay range for this role is $200,000 to $240,000 USD. This range is an estimate, and base pay may vary based on factors including but not limited to location, work experience, certifications, and education.
