Tax Counsel
Position Summary
We are a dynamic tax department that plays a critical role in shaping business strategy, managing tax risks, and driving efficient structures that support business expansion. The ITT tax team partners closely with Treasury, Accounting, Finance, Legal, and ITT’s value centers to manage the company’s corporate tax matters. This role will support the company’s global tax planning efforts and provide strategic tax advice on corporate restructuring and M&A activities.
Essential Responsibilities
- Support tax counsel and tax department on key transactions and planning strategies.
- Aid in plan development, US and local tax analysis, documentation, implementation, cross-functional coordination, and ensuring strategy is reported.
- Support fast-paced M&A transactions including supporting tax due diligence, acquisition structuring and financing, and legal document review.
- Participate in global cash redeployment process by teaming with treasury, accounting and finance.
- Show solid understanding of US international tax rules on corporate distributions.
- Provide general familiarity with foreign tax rules and regulatory requirements.
- Support all aspects of corporate transfer pricing process including drafting legal agreements, documentation and audit defense.
- Understand US and OECD transfer pricing principles.
- Collaborate with tax team to ensure planning strategies are appropriately reported.
- Support legal teams on corporate ministerial process for tax sensitive entities.
- Conduct tax technical analysis, research, and scenario modeling.
- Stay on top of tax law developments and provide relevant updates.
- Support tax compliance process, including preparing GRAs, statements, workpapers and forms related to transactions.
- Handle any additional projects and duties as required / assigned.
Position Requirements
- CPA or JD, LLM in Tax a plus.
- 3 – 5 years of relevant experience at Big 4, law firm, or in a comparable in-house role.
- Highly motivated self-starter who takes ownership, follows through, and seeks out learning / development opportunities.
- Proven project management skills with experience managing competing priorities.
- Strong tax analytical skills. Ability to issue spot and apply tax technical concepts to complex transactions and structures.
- An understanding of US and international tax rules, including corporate taxation, reorganizations, foreign tax credit, GILTI / NCTI, Subpart F, 482 principles and methodology, Pillar 2, Subchapter K.
- Strong attention to detail. Experience with drafting and reviewing legal agreements.
- Familiarity with tax research and resources.
- Strong written and verbal communication skills.
- A team player who is able to collaborate and build cross-functional relationships.
- Working knowledge of accounting for income taxes a plus.
