Key Responsibilities
- Draft and negotiate tax provisions in stock purchase agreements, asset purchase agreements, partnership agreements, joint venture documents, and loan agreements.
- Advises on tax aspects of domestic and cross-border mergers, acquisitions, and restructurings.
- Supports inbound and outbound international tax planning.
- Conducts legal research, prepares client memoranda, and contributes to structuring analysis.
- Works directly with clients and opposing counsel as a key member of deal teams.
- Manages multiple active transactions with strong attention to detail and deadlines.
Who You Are
- 5–7 years of big law transactional tax experience.
- Strong background in M&A tax drafting and structuring.
- Experience with international tax issues is highly advantageous.
- Exceptional academic credentials with excellent writing, research, and communication skills.
- Client-facing, commercially minded, and able to manage concurrent high-value matters.
- Licensed, or eligible to become licensed, to practise in Texas.
- Residing in the Dallas area (or planning to relocate prior to start).
Compensation
Salary Range: $365,000 – $420,000 DOE
