Job Duties and Responsibilities
- Provide legal support and practical advice related to Thrivent’s General Account investments, primarily private equity investments (equity and mezzanine co-investments and fund investments), but also private debt, private high yield credit, and similar asset classes.
- Manage various aspects of transactions, including reviewing and negotiating documentation (such as subscription agreements, side letters, fund agreements, note purchase agreements, etc.), closings, amendments and waivers, restructurings and workouts, corporate actions, and similar.
- Engage and oversee outside counsel; serve as liaison between outside counsel and the business teams.
- Work independently on significant and time-sensitive matters.
- Communicate with and counsel all levels of the company.
- Build and maintain collaborative internal and external working relationships with in-house colleagues, outside experts and various teams of investment professionals, including by providing timely, thoughtful recommendations that account for both the legal and the business necessities of a given transaction.
- Communicate effectively with company personnel to ensure they are aware of and in compliance with applicable laws and regulations.
- Provide education and training as necessary.
Qualifications and Skills
- Juris Doctorate, member of the bar.
- Licensed to practice in any U.S. jurisdiction (however, if hired, required to waive in to or pass the Minnesota Bar).
- 7+ years of relevant, high-quality legal experience.
- Ideal candidate will have worked in a law firm environment and worked on matters related to private investments, particularly representing sponsors in the formation of funds or other clients in private equity-related matters.
- Experience with equity co-investments and private equity fund investments from an investor’s perspective is a plus.
- Substantive knowledge of and experience working in one or more of the following: private equity, mergers & acquisitions, corporate transactional, capital markets, venture capital, investment funds, derivatives, securities laws related to investments, bankruptcy and restructuring, private placements.
- Demonstrated deep subject matter expertise in one or more relevant areas of regulation and law.
- Willingness to learn new subject matters and collaborate with legal and business teams in this quick-moving, often-evolving work.
- Financial regulatory experience (insurance &/or securities preferred).

The applicable salary or hourly wage range for this full-time role is $216,341.00 - $292,696.00 per year, which factors in various geographic regions. The base pay actually offered will be determined by a variety of factors including, but not limited to, location, relevant experience, skills, and knowledge, business needs, market demand, and other factors Thrivent deems important.
