About the role
We are seeking a detail-oriented and proactive Senior Paralegal to serve as a key operational partner to senior members of our legal team. The ideal candidate is experienced with scaling governance and compliance functions at high-growth private companies and has expertise in board governance, global subsidiary management, securities compliance, and building scalable legal infrastructure. While the role’s primary focus is corporate, the ideal candidate is a versatile self-starter who is comfortable pitching in across the broader legal team—including regulatory, litigation, and employment matters—as priorities require.
Responsibilities
- Own preparation and administration of board and stockholder meetings, including written consents, resolutions, corporate minute books, governance records, and related board materials.
- Lead corporate governance across U.S. and international subsidiaries, partnering with internal stakeholders and external counsel to maintain compliance and support global operations.
- Own legal records management, ensuring corporate records, governance documentation, and legal data are organized, accurate, secure, and audit-ready.
- Work closely with cross-functional teams, including government contracts, engineering, and product development, to help ensure external communications, product messaging, and related materials align with legal requirements and business objectives.
- Lead legal due diligence coordination and document management for financing, strategic transactions, and M&A activities.
- Partner with attorneys on corporate transactional work, such as LLC formations and dissolutions, UCC preparation/filings, EIN registrations, foreign qualifications, and general litigation matters.
- Coordinate with external counsel, consultants, and government counterparts as needed.
- Support the preparation and organization of materials for audits, reviews, certifications, and legal filings.
- Track and manage corporate, employment, and regulatory matters, action items, and deliverables to completion.
- Provide flexible support across the legal team as priorities require, including regulatory filings and agency correspondence, litigation support (e.g., document collection, discovery logistics, and docketing), and employment matters.
- Support initiatives related to public company readiness, including governance processes, securities compliance, disclosure preparation, and legal infrastructure development.
Requirements
- Associate’s or Bachelor’s degree in Paralegal Studies, a related field, or equivalent work experience.
- 7+ years of experience as a paralegal or in a legal support role, with substantial corporate governance and transactional experience.
- Strong understanding of corporate governance, financing transactions, securities compliance, and corporate transaction lifecycles.
- Proficiency in Microsoft Office and legal technology platforms, including CLMs and CRMs.
- Strong written and verbal communication skills.
- Exceptional organizational skills with a high level of attention to detail.
- Demonstrated ability to operate with minimal direction, exercise sound judgment, and independently prioritize competing demands.
- Proven ability to thrive in a fast-paced, high-growth environment while managing multiple priorities with accuracy and sound professional judgment.
- Demonstrated innovation and proactive problem-solving skills, including identifying process improvements and implementing more efficient approaches to support legal operations.

Preferred Qualifications
- Experience building or improving legal processes within a high-growth startup environment.
- Experience supporting a company through IPO preparation and/or public company operations, including securities compliance.
