Responsibilities
- Support the legal team in all aspects of corporate governance, real estate transactions, and other legal matters and special projects
- Aid in the preparation, review, and editing of legal documents, including transaction documents, NDAs, license agreements, and other contracts
- Assist in corporate/real estate transactions by coordinating closing processes, such as ordering good standing certificates and lien searches, overseeing document execution, and compiling and delivering documents
- Maintain transaction timelines, closing checklists, and follow up on outstanding items to ensure timely completion
- Prepare organizational documents, including entity formation documents, operating agreements, assignments, authorizing resolutions, officer/incumbency certificates, and other governance materials
- Manage legal department files, records, templates, databases, and transaction documentation
- Collaborate and interface with outside legal counsel, internal business teams, and other stakeholders
Qualifications
- Minimum of 5-7 years of paralegal experience supporting corporate and transactional matters in a law firm or in-house legal department
- Experience supporting corporate and transactional matters; real estate experience is strongly preferred
- Superior interpersonal skills: ease in working with people up and down the organization hierarchy
- Naturally adaptive to different audiences
- Diplomatically assertive
- Ability to manage multiple projects concurrently, prioritize competing deadlines, and work independently in a fast-paced environment
- Strong sense of integrity and ethics
- Excellent organizational skills and attention to detail
- Excellent written and verbal communication skills
- Undergraduate degree required
- A Registered Paralegal (RP) certification is preferred
Pay
The anticipated base salary range for this position is listed below. In addition to a competitive base salary, you will be eligible to receive discretionary bonus incentives and a comprehensive benefits package. Anticipated base salary range: $120,000 - $140,000+
