About the role
We are seeking an experienced Senior Paralegal to support our in-house corporate legal team. This role will focus on corporate governance, contract management, regulatory compliance, and operational legal support.
Key Responsibilities
- Maintain corporate records, minute books, and entity databases for domestic and international subsidiaries
- Coordinate board of directors and committee meetings, including preparing agendas, board materials, resolutions, and meeting minutes
- Manage corporate filings, registrations, and annual compliance requirements
- Aid with corporate structuring, reorganizations, and entity formations/dissolutions
- Draft, review, and negotiate standard commercial agreements, including:
- NDAs
- Vendor and supplier contracts
- Custome/SaaS agreements
- Consulting and professional services agreement
- Partner with internal stakeholders including HR, Finance, Procurement, Sales, and IT to provide legal guidance on day-to-day business matters
- Support the design and implementation of corporate compliance programs (e.g., data privacy, code of conduct)
- Help to improve legal workflows, processes, and documentation standards
Qualifications
- Bachelor’s degree in Paralegal Studies, Legal Studies, or related field
- Paralegal certification (NALA, NFPA, or equivalent) preferred but not required
- Minimum 10+ years of experience, with significant time in:
- In-house corporate legal department
- Law firm supporting corporate/transactional practice areas
- Strong experience in corporate governance and commercial contracting
