Senior Managing Director, Georgeson Advisory, North America
Location: New York, NY (Hybrid – 3 days/week in office)
About the role
Georgeson, part of the Investor Engagement division of Computershare Issuer Services, seeks a Senior Managing Director, Account Executive. In this client-facing role, you will serve as a trusted advisor to issuer clients, delivering advisory services for corporate events such as proxy contests, M&A, corporate actions, shareholder engagement, shareholder meetings, and special situations. You will engage with corporate advisors, senior executives (Board, CEO, CFO, GC, IR), institutional investors, and other key players in the corporate governance industry.
Responsibilities
- Act as the primary point of contact for client engagements.
- Close prospective clients and enhance revenue opportunities with existing clients.
- Deliver high levels of client satisfaction by anticipating needs and maintaining clear communication.
- Collaborate with other advisors retained by clients, including lawyers, investment bankers, and compensation consulting firms.
- Increase the firm’s overall revenue and profitability by pursuing new business opportunities, including calling on companies, attorneys, and investment bankers to secure new corporate clients for proxy fights and M&A-related solicitation.
- Maintain expert-level knowledge of the proxy and corporate actions industries, including related technical mechanics.
- Manage multiple client engagements simultaneously with strong organizational and communication skills, particularly during high-stress events like mergers and proxy contests.
- Recommend actions to improve shareholder meeting outcomes and serve as a trusted advisor to clients.
- Develop and grow your book of business, with outperformance rewarded.
- Demonstrate strong analytical, written, and oral communication skills when advising senior executives, law firms, investment bankers, and institutional investors.
- Lead small teams servicing individual clients and work effectively in a collaborative environment.
- Utilize CRM tools like Salesforce and outbound sales enablement tools to generate leads and increase pipeline conversion.
This role requires moderate travel and may require work outside of standard business hours.
Requirements
- Bachelor’s degree; MBA or JD preferred.
- 10–15 years of experience in corporate actions, corporate governance, stewardship, or a related legal or investor relations position.
- Established relationships with corporate advisors.
- Current knowledge of SEC regulations and state laws regarding shareholder meetings.
- Familiarity with corporate governance issues and an understanding of proxy advisory firms and institutional investors.
- Ability to handle multiple client engagements simultaneously while maintaining organization and poise under pressure.
- Strong leadership, project management, and team collaboration skills.
- Experience with CRM systems like Salesforce and outbound sales enablement tools.

Pay
The typical base pay range for this role is $160,000 – $210,000, with bonus/incentive eligibility. This range is specific to New York State.
