Role/Responsibilities

  • Commercial Contracts
    • Draft, review, negotiate, and manage a broad range of commercial agreements.
    • Master Service Agreements
    • Supply and Procurement Agreements
    • Non-Disclosure Agreements
    • Software and Technology Agreements
    • Consulting and Professional Services Agreements
    • Easements, Rights-of-Way, and Surface Use Agreements
    • EPC and Construction agreements
    • Advise internal stakeholders on contract interpretation, risk allocation, indemnity provisions, insurance requirements, and dispute resolution provisions.
    • Develop and maintain contract templates and contracting best practices.
  • Claims, Litigation, & Dispute Management
    • Assist with management of claims, disputes, and pre-litigation matters.
    • Manage active litigation, coordinating with outside counsel when necessary.
    • Support internal investigations and legal responses to regulatory inquiries.
  • Land & Real Estate
    • Work with the Land team to provide legal review and advice on land and real estate documents, including rights of way, easements, and surface use agreements.
    • Cookordinate and manage, along with landowner disputes.
  • Intellectual Property
    • Coordinate with outside counsel, as needed, to protect XRI’s intellectual property through patent filings and prosecutions, and filing for trademark and copyright protections.

    Qualifications

    • Required Qualifications
      • Juris Doctor (JD) from an accredited law school.
      • Licensed and in good standing to practice law in Texas.
      • 7-10 years of legal experience, preferably with a combination of law firm and in-house experience.
      • Much experience drafting, reviewing, and negotiating commercial agreements, including services agreements.
      • Strong understanding of contract law, risk management, and business operations.
      • Excellent analytical and negotiation skills.
      • Ability to manage multiple priorities in a fast-paced environment.
      • Organized and detail oriented.
      • Strong verbal and written communication skills.
    • Preferred Qualifications
      • Experience supporting energy, oilfield services, water midstream, infrastructure, environmental, industrial, or related industries.
      • Experience working directly with business leaders and operational teams.
