Senior Legal Counsel
About the role
Ocrolus is seeking a highly experienced Commercial Attorney to join our legal team on a part-time basis (approximately 20–30 hours per week during afternoon EST hours 1:00pm-5:00pm), with the opportunity to grow into a full-time role as the organization scales. This is a critical, high-impact role designed for an attorney who thrives in a fast-paced environment and possesses the sophistication to manage complex commercial negotiations and legal matters independently. The successful candidate will serve as a frontline representative for the legal department, interfacing directly with clients and external stakeholders. This role is ideal for a seasoned attorney who enjoys the "art of the deal" and is looking for a flexible, remote-friendly schedule without sacrificing the quality of work.
Responsibilities
- Lead the negotiation of a high volume of commercial agreements, including Master Service Agreements (MSAs), SaaS subscriptions, Data Processing Agreements (DPAs), and Non-Disclosure Agreements (NDAs), exercising independent legal judgment on risk allocation and contract terms.
- Provide legal advice to internal stakeholders on commercial matters, including contract interpretation, regulatory compliance, data privacy obligations, and intellectual property issues.
- Act as the primary legal point of contact during the sales cycle, participating in live negotiation calls with client procurement and legal teams to resolve sticking points and reach consensus.
- Apply and refine the organization's standard legal positions and "playbook," ensuring consistency across all executed contracts while identifying when to escalate deviations to leadership.
- Review and redline third-party contracts and prepare high-quality drafts of standard templates, ensuring all legal and business terms reflect the organization's current requirements.
- Partner closely with the Sales, Finance, and Product teams to understand specific deal mechanics and provide practical legal guidance that facilitates business growth.
- Maintain meticulous records of contract status and version control within the organization's contract management system to ensure transparency and efficiency in the closing process.
- Leverage AI-powered legal tools and technology to increase throughput, reduce turnaround times, and help build scalable processes and workflows that support the organization's growth trajectory.
- Support the General Counsel on a variety of commercial legal projects, including policy development, template updates, and process improvements, as needed.
Requirements
- A minimum of 8+ years of experience as a practicing commercial or transactional attorney, with a heavy emphasis on SaaS and technology contracting. Experience within a high-growth startup or a fast-paced corporate legal department is highly preferred.
- Demonstrated proficiency with AI-powered legal tools (e.g., contract review platforms, AI-assisted drafting, legal workflow automation). You should be comfortable adopting new technology quickly and proactive about identifying opportunities to use AI to improve efficiency and scale legal operations.
- Exceptional verbal and written communication skills, with a proven ability to defend legal positions persuasively and professionally during live calls.
- Deep understanding of common commercial legal issues, including indemnification, limitation of liability, data privacy (GDPR/CCPA), and intellectual property rights.
- A self-starter mindset with the ability to work independently, exercise sound legal judgment, and manage a diverse workload under tight deadlines with minimal supervision.
- Juris Doctor (JD) from an accredited law school and active bar membership in good standing are required.
- Ability to commit to 20–30 hours per week during standard afternoon business hours (1:00pm-5:00pm EST) to accommodate client calls and internal meetings.
Pay
The full-time salary range for this role is around $190,000 + equity + benefits. Base pay offered may vary depending on job-related knowledge, skills, experience, and market location.
