Senior Legal Counsel

We are seeking a Senior Legal Counsel to provide legal advice and manage contracts with customers, vendors, and business partners in the Eskenazi Portfolio, with a focus on the UK and the Nordics, while also supporting M&A and day-to-day legal operations of the Aviation portfolio. This role reports to the General Counsel and serves as a dedicated legal resource for the Aviation portfolio management team.

About the role

The Senior Legal Counsel will primarily support portfolio acquisitions and related legal issues, including due diligence, negotiating transactional agreements, and assisting with closing and integrating acquired businesses. This position requires an articulate, self-motivated individual with strong organizational skills, attention to detail, and excellent interpersonal skills to collaborate across multiple companies and jurisdictions. The role is eligible for permanent remote work status.

Responsibilities

• Draft, review, negotiate, and administer a variety of contracts, including software licenses, maintenance and support services, consulting agreements, sub-contractor agreements, project-specific agreements, and non-disclosure agreements to maximize financial and operational performance.
• Review documents (including responses to public and private tenders) for acceptability and compliance with company standards, policies, and procedures.
• Develop and submit contract management policies, procedures, and processes for approval.
• Customize existing templates, create new agreements, and effectively negotiate terms with customers and suppliers.
• Build and maintain positive relationships with business partners.
• Assess and evaluate risks associated with new and existing contracts.
• Research multiple international jurisdictions and recommend best practices and improvements to contract processes.
• Assist in performing due diligence and other M&A activities, including drafting, reviewing, and negotiating mergers, share or asset purchase agreements, disclosure letters, letters of intent, NDAs, board resolutions, and other related agreements.
• Manage post-close legal integration tasks.
• Assist in policy development and training as required.
• Perform administrative duties, including board minutes and resolutions, regulatory filings, and company onboarding.
• Provide legal advice to relevant stakeholders.
• Perform other duties as assigned.

Requirements

• 8 years of experience in an international law firm or legal department.
• Qualified lawyer in the UK.
• Proficiency in English is mandatory; knowledge of additional languages (e.g., Spanish, Danish, Swedish, or Italian) is an advantage.
• Experience in a telecommunications and/or software environment is considered an asset.
• Background and/or experience in public procurement.
• Resourceful and flexible; able to quickly adapt to an intense and changing work environment.
• Ability to interpret, draft, and negotiate agreements.
• Ability to travel up to 10% of the time.
