Senior Counsel, Private Equity
About the role
An experienced and highly motivated self-starter to assist and lead various transactions in mergers and acquisitions and financings for LS Power’s private equity team. You will have both a meaningful role and an opportunity to develop professionally with the support of collaborative and experienced peers. You will support our M&A, financing and other corporate development activities.
Responsibilities
- Lead mergers and acquisitions and other strategic transactions at all stages, including bids, performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration, including documentation relating to management teams.
- Aid in preparation of M&A related investment committee meeting materials.
- Lead financing activities relating to M&A transactions and refinancing of existing debt of portfolio companies.
- Collaborate and build strong relationships with cross-functional teams, including finance, tax, regulatory, accounting, asset and energy management and investor relations.
Qualifications
- Have JD, with at least 10+ years of experience handling complex M&A, financing and other corporate transactions.
- Able to be the primary in-house attorney on M&A and other corporate transactions, including handling multiple transactions or projects simultaneously.
- Able to quickly assess business challenges, make timely, pragmatic recommendations under pressure and identify, prioritize and resolve issues quickly and independently while balancing legal risks against business interests.
- Excellent communication, project management, negotiation and drafting skills.
- Flexibility to assist the corporate legal team in its activities and its mission as needs arise.

Pay
The salary for this role is $225,000 - $250,000. This is the range that we in good faith anticipate relying on when setting wages for this position. We may ultimately pay more or less than the posted range and this range is only applicable for jobs to be performed in New York. This salary range may also be modified in the future.
