The Legal Team serves as Snap’s in-house law firm, risk consultant, and strategic advisor, partnering across the company on matters including privacy, product, IP, commercial transactions, corporate governance, employment, acquisitions, litigation, policy, and social impact.

About the role

We’re looking for a Senior Corporate Counsel to collaborate on corporate legal matters, strategic transactions, and governance for Snap Inc. and its subsidiaries.

Responsibilities

  • Collaborate with the Corporate Legal team on acquisitions, investments, strategic transactions, financings, securities, tax matters, and corporate governance.
  • Assist with potential acquisitions, including due diligence, drafting and negotiating agreements, and post-closing integration.
  • Review and evaluate investment transactions, draft and negotiate equity and convertible debt agreements, and manage existing investments.
  • Support corporate finance, including capital markets, debt issuances, repurchases, and stock buybacks.
  • Develop relationships across the company by working with cross-functional teams such as finance, strategy, treasury, tax, accounting, and investor relations.
  • Aid in securities law matters, including preparing SEC filings like registration statements, Forms 10-K, 10-Q, and 8-K.
  • Assist with corporate governance and administration for Snap Inc. and its subsidiaries, including managing international filings and corporate records.
  • Collaborate on creating and improving processes, agreements, and document templates, and implement AI efficiency initiatives.
  • Advise on business and legal risks, company policies, and business strategy.

Requirements

  • J.D. from an accredited law school.
  • Active membership in at least one U.S. State bar.
  • 8+ years of experience practicing corporate law in-house or at a law firm.

Preferred Qualifications

  • 8+ years of experience handling M&A, investment, and financing transactions.
  • Significant experience leading strategic transactions and negotiating legal documents.
  • In-house experience at an internet, e-commerce, or technology company.

Schedule

This role follows a "default together" policy, requiring in-office work 4+ days per week to foster collaboration and culture.

Pay

In the United States, work locations are assigned a pay zone determining the salary range for this position. The starting pay will be based on skills, experience, qualifications, work location, and market conditions, and may be negotiable within the range.

  • Zone A (CA, WA, NYC): $251,000–$377,000 annually.
  • Zone B: $238,000–$358,000 annually.
  • Zone C: $213,000–$320,000 annually.

This position is eligible for equity in the form of RSUs.
