About the role

A nationally recognized midsize law firm is seeking a Senior-Level Corporate Associate to join its highly active Corporate & Securities practice in Midtown Manhattan. This is an excellent opportunity for an experienced corporate attorney who wants to continue handling sophisticated securities and transactional work while moving to a smaller, collaborative platform with meaningful client interaction and a hybrid schedule. The firm is approximately 70 attorneys and is nationally recognized for its securities practice, with substantial activity across public and private capital markets transactions.

Responsibilities

The incoming attorney will advise public and private companies, investors, and other market participants across a broad range of corporate and securities matters, including:

  • Registered securities offerings
  • PIPEs and private placements
  • SEC regulatory and compliance matters
  • Securities Act of 1933 registration statements
  • Exchange Act of 1934 periodic reporting
  • Public company reporting and governance
  • Equity financings and other capital raises
  • Mergers & acquisitions
  • General corporate counseling
  • SEC research and securities-law analysis
  • Counseling high-growth and early-stage companies

The role offers meaningful client responsibility and is well suited for someone comfortable managing matters independently while working closely with senior attorneys and clients.

Requirements

  • 5+ years of substantive corporate and securities experience
  • Strong experience with public company representation and SEC reporting
  • Experience with registered offerings, PIPEs, private placements, and other securities transactions
  • Knowledge of ’33 Act and ’34 Act requirements
  • Experience with M&A and general corporate matters
  • Experience advising high-growth companies, early-stage businesses, and/or active investors
  • Ability to independently manage client relationships and transactions
  • Strong drafting, communication, and attention to detail
  • New York Bar admission required

Pay

Base Salary: $225,000–$275,000 per year

Performance bonus opportunity

Potential percentage of origination on new business
