Senior Corporate Counsel – Securities & M&A

About the role

We’re looking for a Senior Counsel to support our legal team on corporate governance, securities compliance, M&A transactions, and strategic business initiatives. This hybrid role requires 3–4 days per week in the office and is ideal for someone who thrives in a fast-paced, collaborative, and global environment.

Responsibilities

• Support the legal department in advising the Board of Directors, board committees, and senior management on corporate governance matters.
• Assist with preparation and review of SEC filings and related disclosures, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings.
• Ensure securities law compliance under the Securities Act of 1933, the Exchange Act of 1934, stock exchange rules, and related regulations.
• Support domestic and cross-border M&A transactions from inception through closing, including legal due diligence, transaction management, and integration planning.
• Draft, review, and negotiate transaction documents such as NDAs, LOIs, purchase agreements, merger agreements, and ancillary agreements.
• Coordinate with outside counsel and internal stakeholders to manage transaction timelines and deliverables.
• Support corporate finance and strategic initiatives, including joint ventures and other growth projects.
• Provide general corporate legal support across the business and assist with special projects involving senior management and cross-functional teams.
• Contribute to operational excellence initiatives within the legal department.

Requirements

• Juris Doctor from an ABA-accredited law school.
• 3–7 years of experience at a law firm and/or in-house legal department.
• Experience with M&A transactions and general corporate matters.
• Exposure to securities law, public company reporting, or corporate governance preferred.
• Active membership in good standing with at least one U.S. state bar.

Pay

The expected compensation range for this position is between $163,550.00 and $239,866.00 plus discretionary bonuses.

Schedule

Hybrid role requiring 3–4 days per week in the office.
