About the Role

VideoAmp is seeking a highly experienced and commercially minded Senior Corporate Counsel who will serve as a trusted legal partner across the business, advising on critical commercial transactions and strategic initiatives that support our mission to transform the media measurement landscape. You will work closely with senior leadership and cross-functional teams to navigate complex legal matters, manage risks, and help scale our legal function as the company continues to grow. This role reports to the VP, Associate GC (Commercial Legal) and will join a team of highly experienced attorneys.

Responsibilities

  • Draft, negotiate, and review all types of commercial contracts, including: SaaS, partnership, data licensing, MSAs/SOWs, DPAs, consulting, confidentiality, vendor, and other business and legal agreements.
  • Support data, privacy, and product-related matters by assisting with the data privacy program, advising on product development, and ensuring data compliance. Develop a deep understanding of our data licenses and expertise in negotiating complex data partnership agreements.
  • Assist with legal operations, including implementing efficient workflows, maintaining templates, playbooks, and decision trees, managing IronClad, and building AI tools to drive efficiency. Shape how the legal team adopts and scales AI responsibly.
  • Identify and assess contractual, privacy, compliance, and financial risk across a wide range of deal types. Communicate risk clearly and concisely to business stakeholders, offering options and recommended paths forward.
  • Provide timely evaluation and guidance on updates and changes in laws and regulations to the legal team and internal stakeholders.
  • Develop and deliver practical legal training to Sales and cross-functional teams on contracting standards, data and privacy compliance, and AI-related legal considerations.
  • Support the Chief Legal Officer and senior attorneys across corporate governance, HR, insurance, intellectual property, AI governance, and other general corporate matters.

Requirements

  • JD from an accredited law school.
  • 6–10 years of experience working both at a law firm and in-house, preferably in technology and/or digital media companies.
  • Current member in good standing of the California or New York bar.
  • Experience in legal operations/automation, commercial transactions, privacy, data licensing, and product.
  • Strong experience in commercial sales transactions and revenue deals, preferably with a large company or firm.
  • Experience negotiating and drafting commercial transactions with large media companies (agencies, programmers, and/or distributors) and television publishers.
  • Exceptional verbal and written communication skills for interactions with customers, partners, and all levels of employees.
  • Deep understanding of contracts.
  • Knowledgeable about data privacy law and experience reviewing DPAs and data license agreements. Experience implementing data privacy programs and processes in-house.
  • Ability to work collaboratively, with curiosity, passion, and a team-oriented mindset.
  • Developed business acumen, with the ability to understand the company's business and anticipate issues in various settings.

Pay

Base Salary: $184,000 – $220,000
