About the Role

This position involves managing and implementing legal strategies across multiple global jurisdictions, requiring adaptability, creativity, and the ability to handle complex legal issues efficiently. The role demands dynamic problem-solving in a fast-paced environment with tight deadlines and high-volume workloads.

Key interactions include collaboration with all organizational levels globally—officers, directors, executive management, and operational personnel—as well as managing external law firms, consultants, and regulatory authorities worldwide. Limited travel (less than 5%) may be required, including occasional international trips.

Responsibilities

  • Develop and implement effective global legal strategies to mitigate risk and ensure cost-effective compliance across multiple jurisdictions.
  • Retain, direct, and supervise international external law firms, consultants, and third-party experts on corporate governance, environmental laws, partnerships, real estate, intellectual property, and human resource regulations.
  • Oversee EBARA Energy Company entities worldwide to ensure adherence to local laws, corporate by-laws, and administrative protocols, including proper documentation of corporate actions and filings.
  • Supervise and maintain records for Energy Company’s real estate assets, including leasehold arrangements, ownership documents, regulatory compliance, zoning, tax assessments, and commercial lease negotiations.
  • Manage software systems for E-discovery, encryption, and data protection to safeguard electronic data, intellectual property, and confidential information.
  • Serve as a key member of the Patent Committee, collaborating with the Global Information and Documents Specialist to register, maintain, and protect intellectual property globally.
  • Direct and monitor outside counsel to minimize litigation risks, including environmental, bankruptcy, and commercial claims, while supporting trial strategies.
  • Prepare and review confidentiality agreements, corporate commercial documents, banking/financial documentation, and credit facility agreements.
  • Ensure corporate compliance by maintaining global corporate records and participating in annual meetings for over 23 legal entities/branch offices.
  • Support acquisitions, divestitures, and integration matters globally in collaboration with the Associate General Counsel and Chief Risk Officer.
  • Assist with legal support for sales and procurement transactions, including contract preparation and documentation.
  • Maintain professional licensure and skills through continuing legal education, seminars, and professional development.

Requirements

  • Doctorate of Jurisprudence from an accredited law school.
  • Admitted and in good standing with the Commonwealth of Pennsylvania Supreme Court (no lapse in license).
  • Minimum of seven (7) years of high-level corporate experience, including demonstrated expertise in:
    • Contracts and financial matters (banking/credit facilities).
    • Intellectual property and environmental law.
    • International law and corporate governance.
    • Commercial real estate and leasing.
  • Knowledge of global anti-corruption laws (e.g., Foreign Corrupt Practices Act, UK Bribery Act, Japanese Unfair Competition Law, Frank-Dodd Act, Sarbanes-Oxley).
  • Ability to analyze complex information quickly and develop case plans for pending legal matters.
  • Decisiveness, confidence, and strong organizational skills to support the Associate General Counsel and Chief Risk Officer.
  • Adaptability to respond to new and unfamiliar situations with agility and cross-cultural awareness.
  • Exemplary writing, research, and communication skills, with the ability to engage and influence stakeholders at all levels.
  • Experience working in or advising corporate organizations in complex legal roles, domestically and internationally.
  • Proficiency in Microsoft Office (Word, Excel, PowerPoint), Lotus Notes, and database management.
  • Basic accounting knowledge is helpful.
  • Strong project management and supervisory skills, with the ability to multitask and manage numerous matters simultaneously.
  • Self-starter with minimal supervision required; ability to work independently.
