Job Overview: The Senior Corporate Counsel - Construction supports CleanSpark’s development and construction activities by providing legal guidance throughout the lifecycle of infrastructure and facility projects. This role partners with internal stakeholders to negotiate contracts, manage risk, resolve disputes, and support the successful execution of strategic growth initiatives. Key Responsibilities Draft, review, negotiate, and manage construction-related agreements, including EPC agreements, design-build contracts, professional services agreements, procurement contracts, master service agreements, and purchase ordersAdvise internal stakeholders on construction risk allocation, project execution, contract administration, and dispute avoidance strategiesProvide legal support for site development, infrastructure expansion, and facility construction projectsManage and resolve construction claims involving delays, schedule impacts, change orders, differing site conditions, payment disputes, defective work allegations, and contract interpretation issuesLead dispute resolution efforts, including negotiations, mediation, arbitration, litigation management, and settlement strategyCoordinate with outside counsel and other consultants on construction-related mattersDevelop and maintain contract templates, policies, and best practices to improve efficiency and reduce legal riskPartner with project management, procurement, and operations teams to identify and mitigate legal and commercial risks throughout project lifecyclesSupport due diligence activities related to acquisitions, site development, and strategic growth initiativesProvide practical legal guidance to business leaders on complex construction and commercial mattersAssist with other corporate, commercial, and operational legal matters as needed This role requires professionalism, respect, strong communication, and the ability to work well with others in a team-oriented, inclusive environment. Required Qualifications Juris Doctor (J.D.) degree from an accredited law schoolActive license to practice law in at least one U.S. jurisdictionMust have 5+ years of litigation experience focused on commercial constructionSignificant experience drafting and negotiating construction and commercial agreementsExperience handling construction claims, disputes, mediation, arbitration, and litigation managementStrong understanding of project delivery methods, including design-build, EPC, and traditional construction contracting structuresAbility to communicate complex legal concepts clearly to business stakeholdersStrong analytical, negotiation, and problem-solving skillsAbility to manage multiple matters simultaneously in a fast-paced environment This position may involve duties that require operation of a company vehicle or travel between job sites.
