Senior Corporate Attorney – Capital Markets
About the role
The role offers exposure to sophisticated domestic and cross-border matters with both public and private clients. You will advise on securities offerings (including Rule 144A, IPOs, and registered deals), corporate governance, and ongoing SEC reporting for public companies.
Responsibilities
- Represent clients in public and private securities offerings (S-1, S-3, S-4 filings)
- Counsel public companies on periodic reporting and disclosure under the Exchange Act (10-K, 10-Q, 8-K, proxy statements)
- Advising on corporate governance and compliance with SEC and exchange regulations
- Work closely with clients and cross-office teams on transactional strategy and execution
- Cook up due diligence and manage deal processes from end to end
Requirements
JD from an ABA-accredited law school
5–10 years of relevant capital markets experience, preferably at a major law firm
Admitted to the Florida Bar (or eligible/willing to obtain admission)
Qualifications
Proven experience drafting offering documents and advising on ’33 and ’34 Act matters
Strong attention to detail and ability to manage multiple complex matters independently
M&A experience and familiarity with proxy contests or shareholder activism a plus
