Senior Commercial Counsel
About the Role
Higgsfield is seeking a Senior Counsel, Commercial to serve as a key legal partner to our Sales team. This role sits within the company's commercial legal function, supporting enterprise sales, strategic partnerships, and other initiatives across a rapidly growing global business. You will also help build and optimize our contracting processes and controls to keep pace with accelerating revenue and business growth.
Responsibilities
- Drive Commercial Transactions:
- Lead the negotiation, drafting, and execution of complex commercial agreements, with a strong focus on enterprise sales agreements.
- Partner directly with GTM leadership to support sales cycles and remove legal bottlenecks that impact revenue generation.
- Provide practical legal guidance that balances risk management with business growth objectives.
- Support international commercial expansion and evolving go-to-market strategies.
- Work closely with our distributed workforce across timezones and legal jurisdictions.
- Partner with Business Teams:
- Collaborate with cross-functional stakeholders to adapt our sales agreements to reflect our new product launches, features, target clients, and strategic initiatives.
- Advise leadership on commercial risk management and strategic transactions, and propose pragmatic solutions.
- Support special projects and emerging business priorities as the company continues to scale.
- Build Scalable Legal Infrastructure:
- Develop and maintain contract templates, negotiation playbooks, fallback positions, and approval frameworks.
- Improve contracting processes and workflows to increase efficiency and shorten deal cycles.
- Partner with business stakeholders to optimize and scale contract management systems and reporting.
- Monitor legal and regulatory developments impacting AI, digital media, content generation, advertising technology, consumer protection, and enterprise software businesses.
Requirements
- J.D. from an accredited law school and active membership in at least one U.S. state bar.
- 7-10 years of legal experience, including substantial experience negotiating and advising on commercial transactions.
- Combination of top law firm and in-house experience strongly preferred.
- Exceptional drafting, negotiation, and communication skills.
- Strong expertise in sales transactions and strategic partnerships, with the legal knowledge required to understand the issues underlying the provisions.
- Experience advising high-growth technology businesses.
- Strong business judgment with the ability to provide practical, actionable advice.
- Ability to manage multiple priorities and operate independently in a fast-moving, demanding environment. This role will handle a high volume of contracts.
- Collaborative, low-ego, and highly execution-oriented mindset.
- Experience supporting AI, machine learning, creator economy, digital media, advertising technology, or content platforms.
- Experience building commercial legal processes in a high-growth startup environment.
- Familiarity with data privacy, intellectual property, liability assessments, and remedies.
- Substantial experience working with Ironclad strongly preferred.
Pay
The anticipated salary range for this role is $200,000 – $250,000, depending on experience, skills, scope, and location.

This is a fully remote role based in the United States, with occasional business travel to our San Francisco office and Kazakhstan required for team meetings, planning sessions, company events, and other in-person collaboration. Team members are expected to be available during agreed working hours and maintain sufficient overlap with the relevant team’s time zone.
