Senior Commercial Counsel
About the role
We are hiring a Senior Commercial Counsel to own the commercial contracting function across Yes Energy’s full product portfolio. You will be the primary legal point of contact for the revenue organization, responsible for reviewing, drafting, and negotiating the agreements that drive the company's growth.

Primary Responsibilities
Serve as the primary legal partner to the Sales and Revenue Operations teams, providing practical, business-focused guidance that helps close deals while appropriately managing risk.
Manage and mentor two Contract Administrators, establishing workflows and ensuring consistent, high-quality execution across the contracting function.
Build and maintain scalable commercial contracting processes, including standardized templates, negotiation playbooks, and self-service resources that improve efficiency and reduce contract cycle times.
Draft, review, and negotiate a broad range of commercial agreements, including SaaS subscription agreements, data licensing agreements, master services agreements, order forms, NDAs, vendor agreements, partnership agreements, and procurement contracts.
Standardize contracting practices across Yes Energy's growing product portfolio, helping integrate legacy agreements and processes from recent acquisitions.
Partner with Product, Finance, Customer Success, Security, and Compliance teams to resolve legal and commercial issues throughout the customer lifecycle.
Support customer privacy, security, and compliance requirements, including negotiating data processing agreements and related contract terms.
Identify matters requiring specialized legal expertise and coordinate with outside counsel when appropriate.
Education internal stakeholders on contract terms, negotiation strategies, and legal best practices to improve business efficiency and consistency.
Minimum Qualifications
J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar.
5+ years of experience drafting, reviewing, and negotiating commercial contracts, preferably supporting SaaS, technology, or data-driven businesses.
Experience negotiating customer-facing commercial agreements such as SaaS subscriptions, licensing agreements, MSAs, and related commercial contracts.
Experience working cross-functionally with Sales, Revenue Operations, Finance, and other business stakeholders.
Demonstrated ability to manage multiple priorities and negotiate a high volume of contracts in a fast-paced environment.
Excellent communication, negotiation, and relationship-building skills with both internal and external stakeholders.
Sound business judgment with the ability to balance legal risk against commercial objectives.
Experience managing or mentoring contract administrators, paralegals, or other legal professionals.
Key Competencies & Preferred Qualifications
Experience building or improving commercial contracting processes, templates, playbooks, or contract lifecycle workflows.
Familiarity with data privacy regulations such as GDPR, CCPA, and related state privacy laws as they relate to commercial contracts.
Experience with contract lifecycle management (CLM) platforms and legal technology.
Experience supporting a high-growth, private equity-backed, or post-acquisition organization.
Experience in the energy, utilities, software, or power markets industry.
