About the role
The Legal team manages Visa's legal affairs, providing strategic advice and services that support business objectives while protecting Visa's brand and minimizing legal and regulatory risks. This role supports the U.S. Legal team and reports to the Senior Counsel responsible for Legal Entity Management across the Americas and globally.
Responsibilities
- Manage Visa's corporate structure across the Americas region and other jurisdictions as required, including entity formations, dissolutions, annual state and federal filings, and maintenance of corporate good standing.
- Draft and review legal entity documentation, including board and shareholder resolutions, officer certificates, powers of attorney, and other governance and compliance materials.
- Cook up subsidiary board and committee meetings, including preparation of agendas, meeting materials, resolutions, and minutes, while ensuring adherence to governance standards.
- Partner with cross-functional teams, including Finance, Controllership, Treasury, Legal, Risk, and Tax, on corporate legal matters, technology implementations, special projects, and process improvement initiatives.
- Maintain accurate electronic and physical corporate records and manage relationships with external stakeholders on legal entity matters.
- Provide corporate information and general legal entity support to stakeholders across multiple levels of the organization.
- Aid with broader Legal and Corporate Legal Team initiatives to strengthen corporate governance and regulatory compliance.
Requirements
- Bachelor's degree or equivalent qualification.
- 7+ years of corporate paralegal experience, preferably with a leading international law firm or a global in-house legal department at a large public company.
- Strong organizational, project management, and attention-to-detail skills.
- Excellent written and verbal communication skills in English.
- Demonstrated stakeholder management and relationship-building abilities.
- Proficiency with Microsoft Office applications.
- Ability to work independently with minimal supervision and collaborate effectively within a global team environment.
- Strong ability to manage multiple priorities, navigate ambiguity, and deliver results under tight timelines.
- Experience managing legal entities within complex, matrixed organizations.
- Experience with entity management systems and document management platforms, such as GEMS and iManage.
- Adaptability and interest in supporting a broad range of corporate legal matters.
Preferred Qualifications
- Experience with SharePoint and other legal technology platforms.
- Interest in or experience using AI-driven solutions to improve legal operations and business processes.
- Understanding of NYSE and SEC reporting obligations and compliance processes.
- Notary Public license.
- Experience supporting legal entity management across multiple countries, markets, or business functions.
