Responsibilities
- Provides support to attorneys regarding transactional matters including contract review and revisions, assisting attorneys in contract negotiations, and working with contract administration groups to facilitate contract completion.
- Supports attorneys in varied practice areas in support of the sales, marketing, and support organizations, including contractual matters such as sales contracts, product marketing agreements, business associate agreements, product evaluation agreements, consulting arrangements, training and education, and some international matters.
- Participates in meetings with business group clients, attorneys, as well as customers, outside counsel, and opposing counsel.
- Performs basic legal research and prepares memoranda regarding diverse areas of law.
- Prepares, facilitates, and administers letters, emails, and other related documents ensuring accurate grammar, spelling, content, and business formats to internal and external parties throughout the Americas.
- Maintains correspondence and project files.
- Assists in developing and implementing programs and processes designed to ensure continued compliance with applicable international, federal, state, and local laws, rules, and regulations.
- Maintains the confidentiality of highly sensitive company information.
- Manages special projects and performs other duties as assigned by attorneys.
- Maintains agreement databases, ensures compliance with regulations, helps resolve contractual issues within agreements, and assists with the development and implementation of policies and procedures.
Qualifications
- Associate degree required.
- Paralegal certificate or equivalent knowledge required.
- At least three (3) to five (5) years paralegal or equivalent experience required.
- Proficiency in Excel, Word, PowerPoint, and CLM systems.
- Excellent organizational skills.
- Excellent written and verbal communication skills.
- Tact and diplomacy.
- Ability to shift priorities quickly and adjust work schedule based on workload and demands. Flexibility, adaptability, and patience.
