Primary Responsibilities
- Interface with board members of a public company; develop relationships and serve as trusted point of contact
- Organize and prepare agendas/materials for board and committee meetings
- Attend board meetings and draft resolutions/minutes; attend other committee meetings and assist in governance matters
- Affiliate in preparation of SEC filings under the Securities Exchange Act, including 10Q, 10K, 8K, Section 16 filings, etc.
- Affiliate in the preparation and review of D&O questionnaires
- Cook up the annual shareholder meeting and proxy voting process
- Affiliate in responses to diligence requests in connection with securities offerings
- Affiliate in review of offering and marketing materials
- Maintain calendar of events and filings
- Prepare equity award agreements and maintain records of equity awards granted
- Affiliate in entity formation and life cycle management, KYC requests and preparation and maintenance of structure charts
- Affiliate in local process agent and licensing filings and communications
- Prepare and maintain other corporate records
- Affiliate in insurance program management
- Perform general legal research
Qualifications & Experience
- 1-3 years of experience supporting corporate legal & governance matters
- Superior collaboration/interpersonal skills; builds and maintains strong relationships/credibility with relevant stakeholders
- Highly organized and proactive; able to manage multiple priorities and meet multiple deadlines
- Possesses professional integrity; displays discretion, tact, and ability to maintain confidentiality
- Excellent written and verbal communication skills
- Team player, with ability to work independently
- Well-developed sense of ownership and accountability
- Strong work ethic with a hands-on approach to projects/tasks
- Excels in a rigorous and fast-paced team-oriented work environment
