Relationship between Parties

Company is interviewing Applicant for the position listed below and to work on the current project(s). Company may disclose certain confidential or proprietary information of Company or its clients ("Confidential Information") to Applicant.

Confidential Information

• All information that has or could have commercial value or other utility in the business in which Company or its clients is engaged or in which Company or its clients contemplate engaging.
• All information that, if disclosed without authorization, could be detrimental to the interest of Company or its clients, whether such information is identified as Confidential Information by Company.
• Examples include but are not limited to: products, techniques, processes, formulas, trade secrets, inventions, discoveries, improvements, research or development, test results, specifications, data, know-how, formats, marketing plans, business plans, strategies, forecasts, unpublished financial information, budgets, projections, product identities and characteristics, and client, customer, and supplier identities, characteristics, and agreements.

Confidentiality Required

At all times during and after the interview and interview process, Applicant will keep confidential and will not make use of or disclose to any third party the Confidential Information.

Confidential Information of Others

Applicant will not use, disclose to Company, or cause Company to use any trade secret or confidential information of any other person or entity.

Ownership of Input and Ideas

Company shall own any input and/or ideas expressed during the interview process regardless of outcome.
