About the role

We are seeking a sharp, entrepreneurial mid-level associate (3-5 years’ experience) to join our dynamic Technology & Data practice in our San Francisco office or alternatively, Denver/Boulder or New York office. This role offers the opportunity to work on cutting-edge legal matters involving technology transactions, sourcing, artificial intelligence, data privacy, cybersecurity, digital transformation, and other complex transactions across a wide range of industries and jurisdictions.

Responsibilities

  • Drafting, reviewing, and negotiating a wide range of technology agreements, including licensing, SaaS and cloud services, development, reseller, and strategic alliance agreements.
  • Drafting, reviewing, and negotiating privacy, data protection, cybersecurity, and information governance provisions in technology transactions, sourcing arrangements, strategic partnerships and other complex transactions.
  • Drafting, reviewing and negotiating stand-alone privacy agreements, including data processing agreements and data sharing agreements.
  • Advising clients on compliance with U.S. and international privacy and data protection laws, including state consumer privacy laws, HIPAA, GDPR, UK GDPR, and emerging global privacy frameworks.
  • Counseling clients on privacy compliance programs, data governance initiatives, data mapping, retention strategies, vendor management, and cross-border data transfers.
  • Serving as the technology and privacy specialist to support M&A and other corporate transactions.
  • Collaborating with multidisciplinary teams across the firm, including technology transactions, corporate, regulatory, litigation, employment, healthcare, and financial services practices, to provide integrated advice on privacy and technology matters.

Requirements

  • 3–5 years of relevant experience in technology transactions, privacy, cybersecurity, data protection, AI or a combination thereof.
  • A healthy curiosity for technology and a strong understanding of the legal issues affecting technology transactions.
  • Experience advising clients on privacy and data protection laws, including U.S. state privacy laws, GDPR, and other global privacy frameworks.
  • Ability to identify and assess privacy, cybersecurity, and regulatory risks in complex technology and corporate transactions and in a practical risk-based manner.
  • Experience supporting M&A, financing, outsourcing, or other strategic transactions involving significant technology or data assets is preferred.

  • Demonstrated ability to independently manage complex matters and multiple client relationships.
  • Familiarity and openness to the use of AI-assisted contract analysis and drafting tools.
  • Admission to the bar in the relevant jurisdiction.

Pay

The estimated range for an Associate with four to six years of experience is $220,000 to $290,000. Actual compensation will be influenced by various factors, including but not limited to the level of relevant experience, skill sets, training, licensure and certifications, internal equity, market data, and other job-related factors permitted by law. The range is based on a full-time work schedule.
