Responsibilities
- Perform entity lifecycle management duties for all subsidiaries and affiliates of KPMG US and KPMG Americas regional entity, including domestic and foreign entity formation and dissolution, maintenance of corporate organizational chart, and ongoing records management, including preparation/drafting of organizational documents and resolutions, including appointment/resignation of directors and officers
- Corporate secretarial duties for KPMG US subsidiaries and KPMG Americas, including drafting and circulation of board minutes and scripts for KPMG Americas board and annual general meeting of shareholders, director onboarding and other Bermuda entity compliance matters; manage procedures relating to audit of financial statements of KPMG Americas
- Assist with other corporate transactions and governance matters such as maintaining shared files and templates and managing projects
- Intake of matters for corporate transactions and governance attorneys; liaising with other legal, risk management and compliance colleagues, and internal stakeholders such as tax, finance, corporate development, client engagement teams, and firm and network leaders
- Assist with various corporate transactions, including M&A, financing and internal reorganizations, including drafting and editing documents under attorney supervision
- Assume additional duties and responsibilities as assigned, including operational support to the wider corporate legal group
Qualifications
- Minimum ten years of recent experience working as a paralegal or similar role with in-house counsel or a law firm, and knowledge of basic business software including Microsoft Word, Excel, Outlook, SharePoint and PowerPoint
- Bachelor's degree from an accredited college/university is required
- Experience working with non-US jurisdictions; Spanish language capability a plus
- Strong analytical, organizational, and project management skills, with a focus on accuracy and attention to detail; demonstrated ability to deliver advanced work products within a team environment that is fast paced and drive outcomes that impact the success of broader initiatives
- Sound professional and ethical judgment, tact, and initiative to work appropriately with senior management and Board members; ability to multitask and prioritize a diversified workload, meeting established deadlines that may involve directing other colleagues in delivery of a process, all with limited supervision
