M&A Counsel

Key Responsibilities

• Lead legal support for M&A transactions, including acquisitions, divestitures, joint ventures, and minority investments
• Draft, review, and negotiate transaction documents (LOIs, NDAs, purchase agreements, disclosure schedules, ancillary agreements)
• Manage due diligence processes, coordinating with internal stakeholders and external advisors
• Advises on transaction structuring, risk allocation, and integration considerations
• Support post-closing integration activities and ongoing governance matters
• Partner with business and finance teams on strategic initiatives and corporate development efforts
• Oversee and manage external counsel to ensure efficient deal execution

Qualifications

• J.D. from an accredited law school and active bar membership
• 5-10+ years of M&A experience, preferably from a top law firm and/or in-house with a multinational company
• Strong experience handling complex, cross-border transactions
• Background supporting manufacturing, industrial, or materials-based businesses preferred
• Demonstrated ability to manage deals independently and operate in a fast-paced environment
